Terms of Service

These Terms of Service ("Terms") govern your use of qiklists2.com (the "Site") and of the QikLists 2.0 subscription service (the "Service"). By using the Site, creating an account, or subscribing, you agree to these Terms. If you don't agree, please don't use them.

1. Who we are

The Site and the Service are operated by FKV LLC ("we," "us," "our"). Contact: quincy@qiklists.com.

2. Your account

• You must be at least 18 and able to enter a contract.
• The information you give us must be accurate, and you must keep it current.
• You are responsible for your password and for everything done through your account. Tell us promptly if you think someone else has access.
• One account per business. Don't share your login or resell your access.

3. Subscriptions and payment

• The Service is sold as a monthly subscription. Each plan includes a set number of leads per billing period, described on the pricing page at the time you subscribe.
• Payment is taken by Stripe. We never see your full card number.
• Your subscription renews automatically each month until you cancel.
• Unused leads do not roll over to the next period unless we say otherwise in writing.
• We may change prices. Any change applies from your next renewal, and we'll tell you before it takes effect.

4. Cancelling

• You can cancel yourself at any time from your account.
• Cancelling stops the next renewal. Your access continues to the end of the period you have already paid for.
• Payments are non-refundable, including for partial months and for leads you did not use. Because cancelling leaves your access running to the end of the period you paid for, you keep what you have already bought.
• We may suspend or close an account that breaches these Terms, or where payment fails. Where we reasonably can, we'll tell you first.

5. What a lead is — and what it isn't

A lead is research: a product we believe may be worth buying from a retailer and reselling on Amazon, with the figures we hold at the time we show it to you.

• Prices and availability change. Retailer stock, retailer pricing, Amazon pricing, fees, rank and competition can all move between us finding a lead and you acting on it.
• Profit and return figures are estimates, calculated from data available when the lead was prepared. They are not a promise, a forecast, or a guarantee.
• Eligibility checks reflect a point in time. Whether Amazon lets you sell a product can change, and the final decision is always Amazon's, not ours.
• Leads are shared. A lead is never sold to more than 15 subscribers, and is never repeated to the same subscriber within 60 days. Leads are not exclusive to you.
• Every purchase decision is yours. You are responsible for your own buying, pricing, tax, and compliance choices, including compliance with Amazon's policies and with the terms of any retailer you buy from.

Nothing we provide is investment, legal, tax, or accounting advice.

6. Connecting your Amazon account

Some features work only if you connect your Amazon selling account. That connection is optional, is made on Amazon's own permission screen, and you can disconnect at any time. What we read and how we handle it is set out in our Privacy Policy.

You confirm the Amazon account you connect is yours, or that you are authorised to connect it. We use that access only to provide the Service to you.

7. Third-party tools included with your plan

Some plans include access to other products, such as QikFinds and QikSource. That access is tied to an active QikLists 2.0 subscription and ends when your subscription ends. Those products have their own terms, and we are not responsible for how they operate.

8. Acceptable use

You agree not to:

• Resell, redistribute, publish, or share lead data with anyone outside your business.
• Scrape, copy, mirror, or systematically extract data from the Service.
• Share your login, or use one subscription to serve multiple businesses.
• Use automated means to access the Service beyond the interface we provide.
• Interfere with the Service, attempt to gain unauthorised access, or transmit malware.
• Use the Service to break any law, or to infringe anyone's rights.

Lead data is the core of what you are paying for. Redistributing it is the one breach we will act on immediately, including by closing the account without refund.

9. Intellectual property

The Site, the Service, their design, text, graphics, logos, code, and the "QikLists" and "QikStack" names are owned by us or our licensors and protected by copyright, trademark, and other laws. Your subscription grants you a limited, personal, non-transferable right to use the Service for your own business while it is active. It grants nothing else.

If you send us feedback or suggestions, we may use them without restriction or payment.

10. Third-party links and services

We link to and rely on third parties — Amazon, Stripe, Keepa, retailers, and others. We are not responsible for their content, policies, availability, or practices. Using them is at your own risk and subject to their terms.

11. Availability

We aim to keep the Service running, but we do not promise it will be uninterrupted or error-free. We may change, suspend, or discontinue parts of it. Where a change materially reduces what you are paying for, we'll tell you before your next renewal so you can decide whether to continue.

12. Disclaimers

The Site and the Service are provided "as is" and "as available" without warranties of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

Reselling is a business activity with real financial risk. Profit figures, return estimates, and eligibility results are based on data available at the time and may change without notice. Past results do not guarantee future results. We do not guarantee that you will make money, that any lead will be profitable, or that any product will remain available or sellable.

13. Limitation of liability

To the maximum extent permitted by law, FKV LLC and its owners, employees, and contractors will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost revenue, lost data, or the cost of substitute services, arising out of or related to the Site or the Service.

Our total liability to you for any claim arising out of or related to the Site or the Service is limited to the amount you paid us in the three months before the claim arose.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

14. Indemnity

You agree to indemnify and hold us harmless from claims, losses, and costs arising from your use of the Service, your breach of these Terms, or your breach of any third party's rights or policies, including Amazon's.

15. Changes to these Terms

We may update these Terms. If we make material changes we will update the date above and notify account holders by email. Continuing to use the Service after a change means you accept it.

16. General

• Governing law. These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Disputes will be brought in the courts located there.
• Severability. If any provision is unenforceable, the rest stays in force.
• No waiver. If we don't enforce a provision, that isn't a waiver of it.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site and the Service.
